By accessing and using VelonSocks services, you agree to be bound by these Terms of Service. These terms apply to all B2B customers, including businesses, retailers, teams, and organizations purchasing wholesale socks.

If you do not agree to these terms, you may not use our services. We reserve the right to modify these terms at any time, with notice provided to active customers.

2. Business Eligibility

Our services are exclusively for business-to-business (B2B) transactions. To use our services:

• You must represent a legitimate business entity
• You must be authorized to make purchasing decisions for your organization
• You must provide accurate business registration and tax information
• You must meet minimum order quantity (MOQ) requirements
• You must be at least 18 years old

3. Orders and Quotes

3.1 Quotations

All quotes are valid for 30 days unless otherwise specified. Quotes are subject to change based on material costs, currency fluctuations, and order specifications.

3.2 Order Confirmation

Orders are confirmed upon:

• Receipt of signed purchase order or written confirmation
• Payment of required deposit (typically 30-50% for custom orders)
• Approval of design specifications and samples (if applicable)

3.3 Minimum Order Quantities

MOQ requirements vary by product type and customization level. Standard MOQs range from 100-500 pairs per design. Contact us for specific MOQ information.

4. Pricing and Payment

4.1 Pricing

All prices are quoted in USD unless otherwise specified. Prices include:

• Manufacturing costs
• Standard packaging
• Quality inspection

Prices do not include shipping, customs duties, or taxes unless explicitly stated.

4.2 Payment Terms

• New customers: 50% deposit, 50% before shipment
• Established customers: Net 30 terms available upon credit approval
• Custom orders: 30-50% deposit required
• Accepted payment methods: Wire transfer, Letter of Credit, PayPal (for smaller orders)

4.3 Late Payments

Late payments may incur interest charges of 1.5% per month (18% annually) or the maximum rate permitted by law. We reserve the right to suspend services for accounts with overdue balances.

5. Production and Delivery

5.1 Production Timeline

Standard production times:

• Stock items: 3-5 business days
• Custom designs: 15-25 business days
• Large volume orders: 30-45 business days

Timelines begin after deposit payment and final design approval. Rush orders available for additional fees.

5.2 Delivery

Delivery times vary by shipping method and destination. See our Shipping Policy for detailed information. We are not responsible for delays caused by customs, weather, or carrier issues beyond our control.

6. Quality and Warranties

6.1 Quality Standards

All products undergo multi-stage quality inspection. We guarantee products meet agreed specifications and industry standards.

6.2 Warranty

We warrant that products will be:

• Free from manufacturing defects
• Made from specified materials
• Conform to approved samples and specifications

Warranty claims must be made within 30 days of delivery with photographic evidence. Normal wear and tear, misuse, or improper care are not covered.

7. Returns and Refunds

You retain ownership of your custom designs, logos, and trademarks. By providing designs, you grant us a license to manufacture products for your orders only.

VelonSocks name, logo, website content, and proprietary designs are our intellectual property. You may not use them without written permission.

8.3 Infringement

You warrant that your designs do not infringe third-party intellectual property rights. You agree to indemnify us against any claims arising from your designs.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the value of the specific order in question
• We are not liable for indirect, consequential, or punitive damages
• We are not liable for business losses, lost profits, or lost opportunities
• Force majeure events (natural disasters, war, pandemics) excuse performance

10. Confidentiality

Both parties agree to maintain confidentiality of proprietary information, including designs, pricing, and business terms. This obligation survives termination of the business relationship.

11. Dispute Resolution

Disputes will be resolved through good-faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association. The prevailing party may recover reasonable attorney fees.

12. Governing Law
